WT Microelectronics Co., Ltd. (3036 TT) ("WT" or the "Company") announced the pricing of its concurrent offerings of US$388.8 million global depositary shares ("GDSs") and US$350 million currency-linked zero-coupon convertible bonds ("CBs") on November 17, 2025. WT is expected to raise a total of US$738.8 million from the concurrent offerings, and the net proceeds will be used for the procurement of raw materials in foreign currencies.

This transaction represents WT's largest fundraising effort to date, marking its third successful entry into the international capital markets and demonstrating sustained global investor confidence in WT's strategic development.

There will be a total of 18 million GDSs, representing 90 million new common shares of WT, to be listed on the Luxembourg Stock Exchange. The GDS offering was priced at US$21.6 per GDS.

The CBs will be listed on the Singapore Exchange and convertible into common shares of WT listed on the Taiwan Stock Exchange. The initial conversion price for the CBs is set at NT$181.7, representing a premium of 35% over placement price of the concurrent GDS offering. With maturity of two years, the NT$ currency-linked, US$-settled CBs will bear zero coupon and a yield rate of 1.125% per annum.

Citigroup Global Markets Limited acted as Sole Global Coordinator for the concurrent GDS and CB offerings, and Sole Bookrunner for the GDR tranche. Citigroup Global Markets Limited and DBS Bank Ltd. acted as Joint Bookrunners for the CB tranche.
